Executive Committee
Carries the business of the association between meetings of the Board, and reports every action it takes back to the Board.
The Executive Committee consists of the President, President-Elect, Secretary General, Treasurer, Immediate Past President and the Executive Director. The Executive Director is an ex-officio, non-voting member. The President serves as chair.
The committee has the authority to perform the business and functions of the association between meetings of the Board of Directors, except as otherwise set out in the bylaws, and reports to the Board any action taken. That delegation of authority does not relieve the Board, or any individual officer or member of it, of any responsibility imposed by law.
Its role is to help the Board accomplish its work in the most efficient way, facilitating decisions between Board meetings or in a crisis or other urgent circumstance. Specific members also liaise with the relevant governing bodies, committees and elected officers as appropriate.
Meetings and voting
The committee meets in person or by conference call at the request of the President or of two of its members. Each member has one vote, and three voting members constitute a quorum. Where fewer than a quorum are present, a majority of those present may adjourn the meeting without further notice. The act of a majority present at a duly called meeting at which a quorum is present is the act of the committee.
Any action requiring a vote may be taken without a meeting if consent in writing, setting out the action taken, is signed by all members entitled to vote on the matter.
Notifying the Board
A summary of the committee's actions is provided to the Board of Directors before the next official Board meeting. Any action taken is subject to revision and alteration by the Board, but no such revision affects the right of any third party once that party has been notified.
